TERMS OF MEMBERSHIP

Agreement made upon enrollment in National Health Discount Shield ("NHDS") between NHDS and NHDS member ("You").

Membership Plan and Term Membership in NHDS is offered pursuant to a variety of membership plans. Membership fees are those that apply in relation to the membership plan offer You accepted and are related to your membership term. Your membership plan is a monthly billed plan. Plans may vary in some states.

Your membership will be accompanied by an introductory trial period (14 or 30 days), during which time You will be charged only a nominal fee in connection with the sending of your membership kit. You may cancel your membership during your trial period, with no further obligation, by calling the NHDS's disclosed toll-free customer service number. Otherwise, upon expiration of your trial period, your membership will automatically be extended to continue on a month to month ongoing basis and the monthly membership fee disclosed to You within the offer You accepted will be automatically billed to the designated credit card or other billing source authorized by You at the time You enrolled. The membership fee billed each month will be to the same account authorized by You to be billed, where applicable, the nominal trial period fee. NHDS reserves the discretion to change the monthly membership fee commencing after your first year of membership.

You have the right at any time to cancel your membership and terminate further billing by calling toll free 1-866-205-9163.

Membership Benefits As a NHDS member, You will have access from your enrollment date to savings, discounts, and other benefits arranged through and contracted for (by a third party in connection with that party's agreement with the NHDS service provider) with existing reputable health care provider networks that coordinate and negotiate the provision of such savings and discounts with their network health care provider participants, as well with other health care providers on specified products and services offered by them; all of such parties being independent from the NHDS service provider. For access to the negotiated discounts with selected laboratories and hospitals, members must be pre-certified through the network provider. No portion of any provider's fees will be reimbursed or otherwise paid by NHDS. All listed or quoted NHDS prices are current prices only and are subject to change without notice. Savings are based upon the provider's usual and customary fees or national or regional fees for the service or product. Your actual savings will vary depending upon your location and specific services and products purchased. From time to time, certain providers may offer products or services to the general public at prices lower than the NHDS price. In such event You will be charged the lower price.

NHDS acts solely as the coordinator of the member benefits, is not responsible for the administration of health services and reserves the right to change, alter or amend member benefits, including substituting the providers of benefits, at any time with or without notice. Health Care providers are subject to change without notice. NHDS does not receive any Personal Health Information. Health Care provider network and provider related privacy statements are obtainable directly from the provider. A NHDS customer service representative may be contacted to answer any questions from members regarding the availability of discounts for specified products and services. Services may not be available in all 50 states.

Limitation of Liability Your membership is a discount card only. THE DISCOUNTS ARE AVAILABLE ONLY AT OR THROUGH PARTICIPATING PHYSICIAN, CHIROPRACTIC AND DENTAL OFFICES, PHARMACIES, EYE GLASS CENTERS, LABS AND HOSPITALS, AND OTHER PARTICIPATING PROVIDERS AS APPLICABLE. NHDS IS NOT AN INSURANCE PLAN, HMO OR HEALTH CARE ADMINISTRATOR AND IS NOT RESPONSIBLE FOR SETTING THE PARTICIPATING PROVIDER FEES OR ASSURING ACCESS OR THE QUALITY OF HEALTH CARE SERVICES. All services and products are subject to their availability, and You are solely responsible for the performance of due diligence and the selection of any participating provider, product or service and the associated cost.

YOU AGREE ON BEHALF OF YOURSELF AND ALL USERS OF YOUR MEMBERSHIP CARD AND YOUR AND THEIR HEIRS AND PERSONAL REPRESENTATIVES THAT NHDS, ITS ADMINISTRATOR, MARKETER(S), PROMOTER(S) AND SPONSOR(S) ( collectively "We" or "Us") ARE NOT RESPONSIBLE OR LIABLE FOR ANY OF THE SERVICES OR PRODUCTS PROVIDED BY ANY PROVIDER TO YOU, INCLUDING NEGLIGENCE OR OTHER WRONGFUL ACTS OR OMISSIONS, IF ANY, IN THE PROVISION OF SERVICES OR FOR ANY MEDICAL/HEALTH ADVICE THEY MAY GIVE TO YOU, THAT IF YOU FEEL AGGRIEVED ANY CLAIM MADE WILL BE ONLY AGAINST THE ACTUAL HEALTH CARE PROVIDER OF THE SERVICE OR PRODUCT AND NOT US, AND THAT WE AND THE PROVIDER NETWORK ARE RELEASED FROM ALL CLAIMS. YOU ACKNOWLEDGE THAT WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO ANY OF YOUR MEMBERSHIP BENEFITS, THE HEALTH PRODUCTS AND SERVICES PURCHASED BY YOU IN CONNECTION WITH THE USE OF YOUR MEMBERSHIP OR RELATED INFORMATION PROVIDED TO YOU. You agree NHDS will not be responsible if any provider fails to honor, or withdraws from, its agreement with the provider network. In all the above instances You acknowledge that your sole recourse will be the cancellation of your membership. WE WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES. Under no circumstance will our liability to You (or anyone else using your membership card) exceed the amount You have paid for your current membership. No liability is assumed by us for any dispute between You and any participating provider. Any dispute arising between You and NHDS, if not resolved, shall be submitted solely to binding arbitration in the State of Maryland administered by the American Arbitration Association under its rules then in effect, with Maryland law to apply.

Use of Membership Your membership is non-transferable and is limited to You, your spouse, and dependant children. Be sure by your membership fee payments to keep your membership current because NHDS and participating product and service providers will not honor a membership card or number that has terminated or expired. Your membership card and other forms of identification should be carried by You at all times to provide proof of the right to receive the discounts and savings made available to You through your membership. NHDS reserves the right to cancel your membership at any time for fraud or other abuse of member privileges. Please notify us promptly should there be any unauthorized use of your membership card or number. YOU ACCEPT BY YOUR MEMBERSHIP IN NHDS AND USE OF ITS BENEFITS ITS TERMS AND CONDITIONS OF MEMBERSHIP AS SET FORTH HEREIN.
